Early termination of waiting period requested for acquisition

Caliper Technologies Corp. (CALP) announced that the U.S. Federal Trade Commission has granted Caliper's request for early termination of the antitrust waiting period for the pending acquisition of Zymark Corporation under Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended. The two companies signed a definitive agreement on June 9, 2003, under which Caliper will purchase Zymark for approximately $57 million, subject to adjustment based on the amount of Zymark's cash, debt, and certain other obligations at closing, and 3.15 million shares of Caliper common stock.
