StockTrans Acts as Paying Agent in $1.52 Billion Acquisition of Genesis HealthCare Corp.

StockTrans, a leading stock transfer and stock plan management services provider, is acting as paying agent on behalf of its client, Genesis HealthCare Corp., on the acquisition of Genesis HealthCare Corp. by Formation Capital and JER Partners in a transaction valued at $1.52 billion. Under the terms of the deal, Genesis' stockholders received $69.35 in cash for each share of common stock that they held. Genesis, based in Kennett Square, Pa., operates more than 200 nursing homes and assisted living facilities in 13 states. It also supplies contract rehabilitation therapy to more than 700 health-care providers in 20 states and the District of Columbia.
