International Rectifier's Board Unanimously Rejects Vishay's Unsolicited Revised Proposal



October 5th, 2008

The Board of Directors of International Rectifier Corporation (NYSE:IRF) announced that it has reviewed Vishay's unsolicited, revised proposal with the assistance of its financial and legal advisors (Goldman, Sachs & Co. and Fried, Frank, Harris, Shriver & Jacobson LLP, respectively) and unanimously determined that Vishay's $23 per share offer significantly undervalues the future prospects of the Company and is not in the best interests of International Rectifier and its stockholders.
